**Your key responsibilities:**
As a member of the Corporate/M&A team in our **Valencia office**, your key responsibilities will include:
* Comprehensive advisory services on domestic and international merger and acquisition (M&A) transactions, including both share deals and asset deals.
* Leadership and coordination of legal due diligence processes, including drafting and reviewing reports and identifying contingencies.
* Negotiation and drafting of standard transactional documentation: letters of intent (LOI/MOU), confidentiality agreements (NDA), share purchase agreements (SPA), shareholders’ agreements, investment agreements, and closing documentation.
* Advisory services on corporate restructuring operations (mergers, spin-offs, business transfers, transformations).
* Ongoing corporate advisory services: corporate governance, board and shareholder meetings, corporate secretarial services, capital increases and reductions.
* Advisory services on private equity, venture capital, and financing rounds.
* Coordination with other firm service lines (tax, labor, regulatory, Strategy and Transactions) and foreign law firms on cross-border transactions.
* Direct client relationship management and supervision of junior lawyers’ work within the team.
**Requirements:**
Mandatory:
* Bachelor’s or Master’s degree in Law (a dual degree in Law and Business Administration/Economics is preferred).
* Master’s Degree in Legal Practice and active bar association membership.
* Between 5 and 8 years of experience in Corporate and M&A law at a prestigious law firm (preferably an international firm or a Big Four legal practice).
* Demonstrable experience leading legal due diligence and actively participating in SPA and shareholders’ agreement negotiations.
* High level of English, both spoken and written (minimum C1); additional languages are valued.
* Proficiency in Microsoft Office and document management tools.
Preferred:
* Specialized Master’s degree in Corporate Legal Advisory, Corporate Law, or M&A.
* Experience in private equity, venture capital, or risk capital transactions.
* Familiarity with the business ecosystem of the Valencian Community.
* Experience working in multidisciplinary environments and on cross-border transactions.
* International internships or supplementary training abroad.
